Transmission Problems 44RE

Hi,
ich have a 1998 ZJ with a 44RE Transmission.
The second Gear is slipping.
Before i spend the money in a overhaul i got a Trans from a Donor.
It should have 175000 km on it, and ok till the parting out..
Bought is and at home i found chunks in the oil.
But not metal, maybe the friction lining from a band?
red-brown, breakable, partly with a white couting on one side..

What do you think about it?

Difference between 1996 and later 97-98 ZJ´s (5.2)?
my spare transmission has a dipstick tube with a ribbing for a O-ring to seal in the transmission housing.
The 97 and 98 models have not the O-ring, but a longer rubber sealing. Right?
My 98 have this longer sealing.
the dipstick hose from my spare trans is with a mount for a vertical screw near the sealing, and goes to the passenger side in the engine bay.
My (98) dipstick hose crosses the bell housing and goes to the driver side in the engine bay.
I think i have a 96 transmission bought.. was 96 the dipstick on the passenger side?
Or have i a wrong transmission?
the dipstick hose is 19 mm diameter for both, therefore i should can use my 98 dipstick with the spare transmission..
I hope so...
i want to get sure the trans fits in my 98, before i pull my trans out..
any difference and problems with the ECM??
